These
Terms & Conditions govern all transactions, sales, and business
relationships between Dizen Industries Private Limited (“the Company,” “we,”
“us,” or “our”) and its customers (“Buyer,” “Client,” or “you”) relating to the
manufacture and supply of denim jeans fabric. By placing an order with us, you
agree to comply with and be bound by these terms.
1. Products
1.1 We
manufacture and supply denim jeans fabric as per the agreed specifications,
including colour, weight, width, and finish.
1.2 Minor variations in shade, texture, and weight may occur due to the nature
of textile production and shall not be considered a defect.
2. Orders & Acceptance
2.1 All
purchase orders must be confirmed in writing via email, purchase order (PO), or
signed agreement.
2.2 The Company reserves the right to accept or reject any order at its sole
discretion.
2.3 Once confirmed, orders cannot be cancelled or amended without prior written
approval.
3. Pricing & Payment
3.1
Prices are quoted in [currency] and are exclusive of applicable taxes, duties,
and shipping charges unless otherwise stated.
3.2 Payment terms: [e.g., 30% advance with order, 70% before dispatch / Net 30
days].
3.3 Late payments may attract interest charges at [X%] per month until fully
paid.
4. Delivery & Shipping
4.1
Delivery timelines are estimates only; delays caused by unforeseen
circumstances (logistics, strikes, raw material shortages, force majeure) will
not make the Company liable for penalties.
4.2 Shipping terms will follow Incoterms 2020 (FOB, CIF, EXW, etc.) as
agreed.
4.3 Risk of loss or damage passes to the Buyer upon dispatch of goods.
5. Quality & Inspection
5.1
Buyers must inspect goods within [7 days] of receipt and notify us of any
defects or shortages.
5.2 Claims for damages/defects after this period will not be entertained.
5.3 The Company’s liability is limited to replacement of defective fabric or
credit note issuance, at its discretion.
6. Intellectual Property
6.1 All
product designs, branding, and trade names used by the Company remain its
intellectual property.
6.2 The Buyer shall not copy, reproduce, or misuse the Company’s branding, designs,
or proprietary information without prior written consent.
7. Limitation of Liability
7.1 The
Company shall not be liable for indirect, incidental, or consequential damages
arising from the use of its products.
7.2 Liability is limited strictly to the invoice value of the disputed goods.
8. Force Majeure
8.1 The
Company shall not be held responsible for failure or delay in fulfilling
obligations due to circumstances beyond its control, including but not limited
to natural disasters, war, strikes, transport disruptions, or government
restrictions.
9. Governing Law & Dispute Resolution
9.1 These
Terms & Conditions shall be governed by and construed under the laws of Ahmedabad,
India.
9.2 Any disputes shall be settled amicably; failing which, they will be subject
to arbitration under Arbitration Rules or Jurisdiction of the courts in India.
10. Amendments
10.1 The
Company reserves the right to amend or update these Terms & Conditions at
any time without prior notice.
10.2 Continued business with us after changes implies acceptance of the revised
terms.
